Welcome to Mother And Bloom’s Corporate Flower Gifting Referral Program. By joining or participating, you agree to the following Terms & Conditions.

1. Purpose

Mother And Bloom operates a corporate flower and wellness gifting program that provides flower arrangements and access to wellness-focused products, services, and resources for women and mothers. The purpose of this Agreement is to establish the terms under which the Referral Partner may refer corporate customers to Mother And Bloom in exchange for referral commissions (the “Purpose”).

2. Referral Program Eligibility

The Referral Partner may refer prospective corporate customers to Mother And Bloom for various reasons, including, but not limited to the following:

  • Employee gifting programs;

  • Client appreciation gifting;

  • Business partner gifting;

  • Corporate awareness days and celebrations;

  • Conferences and events;

  • Hospitals and healthcare organizational needs;

  • Corporate wellness initiatives; and

  • Other approved business gifting programs.

3. Minimum Order Requirement

Referral commissions shall only be earned and paid on qualifying orders consisting of a minimum purchase of fifty (50) flower bouquets in a single transaction (“Qualifying Orders”). Orders below the minimum requirement are not eligible for commission payments unless otherwise approved in writing by Mother And Bloom (such orders approved by Mother and Bloom, together with Qualifying Orders, “Approved Orders”).

4. Commission Structure

‍ Initial Orders

The Referral Partner shall receive a commission equal to six percent (6%) of the qualifying bouquet subtotal for initial Approved Orders.

Repeat Orders

If a referred customer places additional  Approved Orders within twelve (12) months of the initial Approved Order, the Referral Partner shall receive a commission payment that is calculated using fifty percent (50%) of the original commission rate. Accordingly, repeat Approved Orders will earn a commission of three percent (3%) of the qualifying bouquet subtotal.

5. Commission Calculation

Commissions are calculated solely on the bouquet subtotal. The following amounts are excluded from commission calculations:

  • Sales tax;

  • Shipping charges;

  • Delivery fees;

  • Rush fees;

  • Custom add-ons;

  • Gift cards; and

  • Any other non-bouquet charges.

    Mother And Bloom reserves the right to determine the final commissionable amount.

6. Payment Terms

Commission payments will be made within thirty (60) days of satisfaction of the following conditions: 1.       Receipt of full payment from the referred customer; and 2.       Completion of the applicable order. Payments may be issued by ACH transfer, check, or another payment method approved by Mother And Bloom. The Referral Partner is responsible for providing accurate payment and tax information, including a completed IRS Form W-9 upon Mother and Bloom’s request. The Referral Partner shall be solely responsible for all taxes arising out of or in connection with any commission payments made under this Agreement. Mother and Bloom will report commission payments as required by applicable law (including, where applicable, IRS Form 1099).

7. Commission Qualification

An Approved Order shall qualify for commission only if:

  • The referred company has not previously engaged Mother And Bloom regarding the same opportunity;

  • The Referral Partner introduces the prospect directly to Mother And Bloom; and

  • The prospect is approved by Mother And Bloom.

  • Mother And Bloom retains sole discretion in determining whether a referral or Approved Order qualifies for commission.

8. Non-Circumvention and Customer Ownership

The Referral Partner acknowledges that all customers referred to Mother And Bloom become customers of Mother And Bloom and that Mother And Bloom shall retain full ownership of all customer relationships, customer information, proposals, contracts, and future business opportunities relating to Mother and Bloom’s business, in each case, arising from such relationships.

The Referral Partner shall not be entitled to commissions on any customer or opportunity unless:

  1. The customer was directly introduced by the Referral Partner;

  2. The referral was disclosed to and accepted by Mother And Bloom;

  3. The referral is documented in writing; and

  4. The referral otherwise qualifies under the terms of this Agreement.

    Commission rights are limited solely to the commission structure described in this Agreement and do not create any ownership interest in a customer account, contract, revenue stream, or business relationship. The Referral Partner agrees not to interfere with, disrupt, or attempt to redirect any customer relationship established between Mother And Bloom and a referred customer. Mother And Bloom reserves the right to communicate, negotiate, contract, market, and conduct business directly with any referred customer without the involvement of the Referral Partner. Upon termination of this Agreement, the Referral Partner shall not be entitled to any future commissions except for commissions expressly earned and payable under the terms of this Agreement. Nothing in this Agreement shall restrict Mother And Bloom from independently pursuing business opportunities with any company, organization, or individual, including those that may have been previously introduced by the Referral Partner.

9. No Commission Unless Paid

The Referral Partner shall earn commission only on Approved Orders that have been fully paid by the customer and for which Mother And Bloom has received cleared funds.

No commission shall be earned or payable on:

  • Canceled orders;

  • Refunded orders;

  • Chargebacks or disputed transactions;

  • Unpaid invoices;

  • Partially paid invoices;

  • Returned products; or

  • Amounts written off as uncollectible.

Mother And Bloom’s obligation to pay commissions arises only after receipt of full payment from the customer.

10. No Exclusivity

This Agreement is non-exclusive. Nothing in this Agreement shall prevent Mother And Bloom from:

  • Engaging other referral partners, affiliates, brokers, consultants, distributors, or sales representatives;

  • Marketing its products and services directly to prospective customers;

  • Maintaining direct relationships with referred customers;

  • Pursuing business opportunities independently; or

  • Entering into similar referral arrangements with other parties.

Likewise, the Referral Partner may refer customers to other companies and is not restricted from participating in other business activities, provided such activities do not violate the confidentiality, non-circumvention, or intellectual property provisions of this Agreement. The Referral Partner acknowledges that participation in the Corporate Flower Gifting Referral Program does not grant any exclusive territory, industry, customer segment, or customer relationship rights.

11. Independent Contractor Relationship

The Referral Partner is an independent contractor and is not an employee, agent, representative, franchisee, joint venturer, or legal partner of Mother And Bloom.

The Referral Partner shall not:

  • Enter into contracts on behalf of Mother And Bloom;

  • Make pricing commitments on behalf of Mother And Bloom;

  • Represent themselves as an employee of Mother And Bloom; or

  • Create, attempt to create, or indicate to third-parties that it can create legal obligations for Mother And Bloom.

12. Marketing and Brand Use

Referral Partners may use approved Mother And Bloom marketing materials provided by the Company. No trademarks, logos, marketing materials, or brand assets may be modified without prior written approval.

13. Confidentiality

The Referral Partner agrees to maintain the confidentiality of and use only in connection with the Purpose all non-public information regarding:

  • Customers;

  • Pricing;

  • Business operations;

  • Sales strategies;

  • Financial information; and

  • Partner relationships.

This obligation shall survive termination of this Agreement.

14. Compliance

The Referral Partner agrees to conduct all activities in a professional and ethical manner and comply with all applicable laws, regulations, and marketing requirements. The Referral Partner shall not engage in deceptive, misleading, or fraudulent practices.

15. Term and Termination

This Agreement shall remain in effect until terminated by either party upon thirty (30) days written notice. Mother And Bloom may terminate this Agreement immediately for:

  • Breach of this Agreement; ·      

  • Fraudulent activity;

  • Intentional misrepresentation; or

  • Conduct that may harm the reputation of Mother And Bloom, as determined in Mother And Bloom’s sole discretion.

  • If commission is earned then payment will be made for the remaining amount owed within 10 days of termination.

16. Limitation of Liability

Mother And Bloom shall not be liable for any indirect, incidental, consequential, special, or punitive damages arising from this Agreement. In no event shall Mother and Bloom’s liability arising out or relating to this Agreement exceed the total amount of commission actually paid to the Referral Partner during the twelve (12) month period immediately preceding the event giving rise to the claim.

17. Indemnification

The Referral Partner shall indemnify, defend, and hold harmless Mother and Bloom and its officers, directors, members, employees, ad affiliates from and against any and all claims, damages, losses, liabilities, costs and expenses (including reasonable attorneys’ fees) arising out of or relating to the Referral Partner’s referral activities, any breach of this Agreement, any unauthorized representation made by the Referral Partner to a prospective customer, or any violation of applicable law by the Referral Partner.

18. Assignment

The Referral Partner may not assign, transfer, or delegate any of its rights or obligations under this Agreement, in whole or in part, without the prior written consent of Mother and Bloom. Any attempted assignment in violation of this Section shall be null and void.

19. Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the State of Georgia without regard to its conflict of laws principles. The parties consent to the exclusive jurisdiction and venue of the state and federal courts located in the State of Georgia, and each party irrevocably waives any right to a trial by jury in any proceeding arising out of or relating to this Agreement.

20. Entire Agreement

This Agreement constitutes the entire understanding between the parties and supersedes all prior discussions, representations, and agreements relating to the Referral Program. Any amendments must be made in writing and signed by both parties.
